These General Terms and Conditions ("Terms," "T&Cs") are a binding agreement between ParaBuyer, LLC, a Colorado limited liability company ("ParaBuyer," "we," "us," "our") and any individual or entity that creates an account, lists items, or purchases items on the ParaBuyer marketplace ("User," "you"). By accessing or using the Services (defined below), you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. DEFINITIONS

"Account" means a registered user profile on the Services.

"Buyer" means a User who purchases an Item.

"Buyer Protection Fee" means the mandatory fee paid by the Buyer on every transaction (shipped and Local Pickup alike) equal to 5% of the Item price that funds payment security, escrow administration, and dispute handling; refundable upon full item refund.

"Carrier" means a third-party shipping carrier engaged by a Seller (e.g., UPS, FedEx, USPS).

"Dispute" means a claim submitted by a Buyer through the in-platform Dispute process within the applicable window.

"Escrow" means funds held by Stripe Connect on behalf of a transaction until release under these Terms.

"Item" means used paragliding/free-flight equipment listed by a Seller (e.g., wings, reserves, harnesses, helmets, flight instruments/varios).

"Local Pickup" means an in-person handover of an Item coordinated by the parties (no ParaBuyer shipping).

"Services" means the ParaBuyer marketplace, website(s), app(s), payment/escrow facilitation, messaging, and dispute administration.

"Seller" means a User who lists an Item for sale.

"Stripe Connect" means the third-party payment platform used for identity verification, processing, holding, and payout.

"UCC" means the Uniform Commercial Code as enacted by the applicable U.S. state.

2. SCOPE; WHO WE ARE; ELIGIBILITY

2.1 Marketplace Only

ParaBuyer operates an online marketplace and escrow facilitation service for used paragliding equipment. ParaBuyer is not a party to sales contracts between Buyers and Sellers, does not take title to Items, and does not inspect, certify, or guarantee any Item.

2.2 U.S.-Only

The Services are offered for transactions where both Buyer and Seller are located in the United States.

2.3 Age & Identity

You must be 18+ and capable of forming a binding contract. Sellers must provide accurate legal name and identification required by Stripe Connect (real-name policy).

2.4 Account Security

You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account. Notify us immediately of any unauthorized use.

2.5 Mandatory Acceptance of Terms

Use of the Services requires explicit acceptance of these Terms. Upon first accessing the Services, you will be presented with this agreement and must affirmatively accept it — including the zero-tolerance policy for objectionable content and abusive users (Section 4.5) — before using the Services. If you do not agree, you may not use the Services.

3. RELATIONSHIPS & GOVERNING LAW

3.1 Buyer–Seller Sales

Each completed purchase results in a sales contract between Buyer and Seller. That purchase contract is governed by the UCC of the U.S. state applicable to that transaction.

3.2 User–ParaBuyer Relationship

Your use of the Services is governed by these Terms and Colorado law (Section 17). ParaBuyer acts only as a marketplace and escrow facilitator.

4. ACCOUNT CONDUCT; ANTI-CIRCUMVENTION; MESSAGING

4.1 On-Platform Only

All offers, negotiations, payments, shipping coordination, and problem resolution must occur on the Services. Off-platform transactions or solicitations are prohibited and void all protections.

4.2 Messaging Moderation and License

ParaBuyer may use automated and human moderation to detect fraud, unsafe listings, contact info exchange, and off-platform solicitation. You grant ParaBuyer a nonexclusive, worldwide, royalty-free license to host, analyze, use, and retain your on-platform communications to operate, secure, moderate, resolve disputes, and improve the Services, in accordance with our Privacy Policy.

4.3 Prohibited Conduct

You may not:

  • list Items you don't own or can't transfer;
  • misrepresent condition, authenticity, or airworthiness;
  • harass, defraud, or abuse other Users;
  • create duplicate/shill accounts;
  • tamper with Escrow; or
  • attempt to bypass fees.

4.4 Enforcement

Violations may result in content removal, Dispute holds, forfeiture of funds, account suspension/termination, and legal action.

4.5 Zero Tolerance for Objectionable Content & Abusive Users

ParaBuyer has no tolerance for objectionable content or abusive users. Objectionable content includes, without limitation, content that is offensive, harassing, threatening, discriminatory, sexually explicit, fraudulent, or otherwise inappropriate.

  • Flagging: Any User may flag objectionable content (listings, messages, or reviews) directly in the app using the report feature.
  • Blocking: Any User may block an abusive user. Blocking immediately hides the blocked user's content from the blocker's feed and notifies ParaBuyer for review.
  • 24-Hour Action: ParaBuyer reviews all reports of objectionable content within 24 hours. Content found to violate these Terms is removed, and the User who provided the offending content is ejected from the platform.

Active Transactions: If you block a User with whom you have a transaction in motion (paid, shipped, or awaiting delivery/approval), the conversation and order details for that specific transaction remain accessible to both parties until the transaction is completed, cancelled, or refunded. This preserves your payment protections and does not limit ParaBuyer's ability to act on the blocked User's conduct.

5. LISTINGS; SAFETY; PROHIBITED ITEMS

5.1 Used Gear Only

ParaBuyer is strictly a used-gear marketplace. Services, training, instruction, or any human-service offers are prohibited.

5.2 Accuracy & Disclosures

Sellers must provide accurate, non-misleading descriptions, including material defects, repairs, and relevant history. Items older than 10 years must be explicitly labeled "10+ years old."

5.3 Airworthiness and Safety

Sellers warrant that each listed Item is (i) airworthy and fit for its ordinary intended purpose or (ii) clearly labeled "unfit for flight / parts only." No undisclosed damage, structural issues, or unsafe conditions.

5.4 Prohibited Items (non-exhaustive)

  • Items known to be unsafe/unairworthy; damaged wings, harnesses, or reserves with structural/porosity defects unless clearly "unfit for flight."
  • Expired reserves or Items beyond manufacturer-mandated life if represented as airworthy.
  • Compressed oxygen cylinders/kits; hazardous materials restricted by law.
  • Lithium batteries that exceed Carrier watt-hour limits or violate Carrier packaging/quantity rules.
  • Weapons, explosives, or any HAZMAT restricted by DOT/IATA/Carrier rules.

5.5 Counterfeits

Counterfeit Items, replicas, or Items with falsified serials are prohibited.

6. FORMATION OF CONTRACT; PRICES; FEES; TAXES

6.1 Invitation to Treat

Listings are invitations to negotiate; they are not binding offers.

6.2 When a Sale is Binding

A binding sale forms when (i) Buyer completes checkout and payment via ParaBuyer; and (ii) the sale is automatically confirmed upon payment acceptance. After payment confirmation, sales are final except as provided in Sections 10–12.

6.3 Buyer Costs

Total Buyer cost depends on delivery method:

  • Shipped Items: Item price + 5% Buyer Protection Fee + shipping cost + applicable sales tax. Shipping cost equals the carrier rate (calculated dynamically based on package weight, dimensions, and destination) plus a platform handling markup of 5% of the carrier rate.
  • Local Pickup: Item price + 5% Buyer Protection Fee + applicable sales tax. No shipping charges apply.

6.4 Seller Costs

For all transactions (shipped and Local Pickup), ParaBuyer deducts a 5% platform commission from the Item price at the time funds are released, so the Seller receives 95% of the agreed Item price. Shipping label costs are covered by the Buyer's shipping charge; Sellers do not pay separately for labels.

6.5 Taxes

ParaBuyer utilizes Stripe Tax to calculate, collect, and remit applicable sales/use taxes where required. Sellers remain responsible for any income-tax reporting.

7. PAYMENTS; ESCROW; KYC; CHARGEBACKS

7.1 Stripe Connect

All payments are processed by Stripe Connect. By transacting, you agree to the Stripe Connected Account Agreement and authorize Stripe to process, hold, and disburse funds.

7.2 KYC & U.S. Payouts

Sellers must complete Stripe KYC and provide a valid U.S. bank account. Payouts are not available until verification is complete.

7.3 Escrow & Release

Funds are held in Escrow until:

  • Shipped Items: Buyer confirms acceptance or the 48-hour acceptance window after carrier-confirmed delivery lapses without a Dispute; or
  • Local Pickup: Buyer marks accepted or seven (7) days elapse without a Dispute.

If a Dispute is filed within the applicable window, Escrow remains frozen pending ParaBuyer's decision (Section 11).

7.4 Chargebacks & Offsets

ParaBuyer may contest chargebacks using transaction evidence. If a chargeback is upheld and causes loss to ParaBuyer, ParaBuyer may offset that amount against any current or future payouts to the responsible User or linked Accounts.

7.5 Off-Platform Payments

Any off-platform payment voids Buyer Protection and may result in account action.

8. SHIPPING; DELIVERY; LOCAL PICKUP

8.1 Platform-Managed Shipping

For shipped transactions, ParaBuyer automatically generates a prepaid shipping label via our carrier partner (EasyPost). The platform selects the most cost-effective carrier and service based on package weight, dimensions, and destination. Sellers are responsible for properly packaging the Item and affixing the provided label. Shipping insurance adequate to cover full Item value is recommended.

8.2 Timelines & Tracking

Sellers must ship within seven (7) calendar days of payment confirmation using the platform-generated label. If no shipping activity is detected within that window, the order is automatically cancelled, the Buyer receives a full refund, and the Item is relisted. Tracking is automatically assigned when the label is created and visible to both parties in the Services; shipment status updates (shipped, out for delivery, delivered) are also posted to the in-platform message thread.

8.3 Carrier & Service Selection

The platform automatically selects the most cost-effective carrier and service level. Signature confirmation is not guaranteed on any shipment. Buyers of high-value Items should plan to receive the delivery in person or arrange a secure delivery location; ParaBuyer is not responsible for packages after carrier-confirmed delivery.

8.4 Buyer Duty to Monitor Delivery; Acceptance

Buyers are expected to closely follow the shipping status of their order using the tracking information provided in the Services. The 48-hour inspection window (Section 10) begins at carrier-confirmed delivery — not when the Buyer retrieves or opens the package.

Buyers must accept delivery even if packaging shows external damage, promptly retrieve and inspect the Item, and file any Dispute within 48 hours of carrier-confirmed delivery. Failure to file a timely Dispute results in automatic Escrow release to the Seller.

A Buyer who fails to monitor tracking, retrieve the package, or inspect the Item within the window will not be reimbursed and is not eligible for any shipping insurance coverage on account of that failure. Being unavailable, traveling, or unaware of the delivery does not extend the inspection window.

8.5 Loss/Damage in Transit

Risk of loss in transit is the Seller's (and its insurer's). ParaBuyer is not financially liable for carrier loss or damage. Insurance coverage, where applicable, extends only to loss or damage occurring before carrier-confirmed delivery; it does not cover theft, weather damage, or deterioration occurring after delivery, nor losses attributable to the Buyer's failure to manage the arrival and inspection of the order.

8.6 Local Pickup

Payments remain in Escrow until the Buyer marks the Item accepted or seven (7) days pass from payment confirmation, whichever comes first. If the pickup is not completed within seven (7) days of payment, the order is automatically cancelled and the Buyer refunded. Buyers must inspect the Item before accepting; in-person handover disputes are difficult to substantiate, so acceptance at pickup is final absent clear evidence of misrepresentation.

9. CANCELLATIONS; PLATFORM INTERVENTION

9.1 Before Payment

Either party may cancel with no penalty.

9.2 After Payment

Sales are final; Seller may not cancel except where expressly authorized by ParaBuyer in connection with a Buyer Dispute.

9.3 Platform Cancellation

ParaBuyer may cancel an order if:

  • Seller fails to ship or to provide tracking in a reasonable time;
  • the listing or conduct violates these Terms;
  • Buyer address is undeliverable; or
  • fraud/safety concerns exist.

If the Seller does not ship (or complete a local pickup) within seven (7) calendar days of payment, the order is automatically cancelled, the Buyer receives a full refund, and the Item is relisted. Repeated Seller-caused cancellations may result in account enforcement measures (Section 4.4).

10. BUYER OBLIGATIONS; INSPECTION WINDOWS

10.1 Inspection Windows

  • Shipped Items: Buyer must inspect and file any Dispute within 48 hours after carrier-confirmed delivery. The window runs from the carrier's delivery scan, regardless of when the Buyer retrieves or opens the package.
  • Local Pickup: Buyer must inspect and file any Dispute within seven (7) days of payment confirmation.

10.2 Duty to Monitor

The Buyer is responsible for actively monitoring the shipment's tracking status via the Services and anticipating delivery. Missed, delayed, or unattended retrieval of a delivered package does not pause or extend the inspection window, and losses resulting from the Buyer's failure to manage the arrival and inspection of the order are not reimbursable and are not covered by any shipping insurance (Sections 8.4–8.5).

10.3 How to File

Disputes must be filed using the in-platform Dispute button/workflow. Emails, DMs, or social posts do not constitute a proper Dispute.

10.4 Silence = Acceptance

If the Buyer neither confirms acceptance nor files a timely Dispute, Escrow will automatically release to the Seller at the end of the applicable window. Automatic release is final and is not reversible on the grounds that the Buyer did not track, retrieve, or inspect the shipment in time.

11. DISPUTES; EVIDENCE; PARA-BUYER DECISION

11.1 Immediate ParaBuyer Review

Upon a timely Dispute, ParaBuyer will immediately pause Escrow and a trained representative will review.

11.2 Evidence

ParaBuyer may request from either party: photographs/videos, serials, communications, delivery scans/signature, expert quotes, third-party evaluations, and other relevant data. You must respond within the time frames we set (typically 2–3 business days).

11.3 Decision Standard

ParaBuyer will reach an objective decision based on listing content, disclosures, condition variances, authenticity indicators, delivery/handling, and safety implications.

11.4 Binding Outcome

ParaBuyer's decision is final and binding on-platform. Remedies may include (a) full refund; (b) partial refund reflecting repair or replacement cost; (c) denial of Dispute and release of Escrow to Seller; and/or (d) account enforcement measures (Section 4.4).

11.5 Unauthorized Returns

Any return shipped without ParaBuyer's prior written authorization is unauthorized and may void refund eligibility; items may be deemed abandoned.

12. REFUNDS; REPLACEMENTS; AUTHENTICITY

12.1 Refund Grounds (illustrative)

Refunds (full or partial) may be issued when ParaBuyer determines that:

  • the Item materially differs from the listing (e.g., undisclosed damage, unsafe condition);
  • the Item was not shipped/delivered and Seller lacks adequate proof;
  • authenticity is not proven when reasonably challenged; or
  • the Item is totally compromised and unfit for intended use (as assessed by a qualified third party).

12.2 Refund Amounts

  • Full Refund: For total misrepresentation/counterfeit or if the Item is deemed totally compromised. Buyer Protection Fee is also refunded on full refunds.
  • Partial Refund: Based on actual repair/replacement cost (or market replacement value) determined by a qualified third party or market benchmarking of comparable parts/products. ParaBuyer deducts the approved amount from Seller's payout and refunds Buyer.

12.3 Missing Accessories/Documents

If listed accessories (e.g., reserve bag, speed bar) are missing, ParaBuyer may award the reasonable replacement cost based on available market pricing.

12.4 Counterfeits

If Buyer raises a counterfeit claim, Seller must provide authenticity proof (e.g., serial verification, receipts). Failure to do so in a reasonable time may result in cancellation and refund, plus account sanctions.

13. FEES; BUYER PROTECTION; NO OFF-PLATFORM

13.1 Buyer Protection Fee

A mandatory 5% Buyer Protection Fee (calculated on the Item price) applies to every transaction — shipped and Local Pickup alike — and funds payment security/escrow, dispute handling, and fraud prevention. If ParaBuyer grants a full refund of the Item, the Buyer Protection Fee is also refunded.

13.2 No Fee Refund on Partial Refunds

Unless ParaBuyer grants a full refund, the Buyer Protection Fee is not refunded.

13.3 Off-Platform = No Protection

Off-platform payments or shipping arrangements are prohibited and void all protections and support.

14. INTELLECTUAL PROPERTY; DMCA

14.1 Ownership

The Services (including text, graphics, software, and trademarks) are owned by ParaBuyer or its licensors. You receive a limited, revocable license to access and use the Services as permitted by these Terms.

14.2 DMCA

If you believe material on the Services infringes your copyright, send a compliant notice under 17 U.S.C. §512(c)(3) to:

We may remove or disable access to allegedly infringing material and may terminate repeat infringers.

15. SAFETY; DISCLAIMER; LIMITATION OF LIABILITY; INDEMNITY

15.1 Inherent Risk (Assumption of Risk)

Paragliding and free-flight activities are inherently dangerous and may result in serious injury or death. ParaBuyer is an online marketplace only and does not inspect, test, certify, or warrant the airworthiness, performance, or suitability of any Item. By using the Services, you voluntarily assume all risks associated with acquiring and using paragliding equipment.

15.2 Release of Liability

To the maximum extent permitted by law, you release ParaBuyer, its affiliates, officers, employees, agents, and suppliers from any liability for injury, death, or property damage arising from or related to: (a) Items purchased or sold via the Services; (b) Seller misrepresentation or failure to disclose; (c) product defects; (d) your use or misuse of Items.

15.3 No Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." PARABUYER DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

15.4 Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE, PARABUYER'S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PARABUYER FOR THE TRANSACTION AT ISSUE, OR (B) ONE HUNDRED U.S. DOLLARS (US$100). IN NO EVENT SHALL PARABUYER BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES.

15.5 Indemnification

You agree to indemnify, defend, and hold harmless ParaBuyer and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) your Items, listings, or sales; (c) your use of the Services; or (d) your violation of law or third-party rights.

16. SANCTIONS; COMPLIANCE

You may not use the Services if you are located in a country or region subject to U.S. sanctions (OFAC), are listed on any U.S. government restricted party list, or if your transactions would violate export/sanctions laws. ParaBuyer may block or cancel transactions to comply with law.

17. GOVERNING LAW; DISPUTE RESOLUTION WITH PARABUYER

17.1 Colorado Law

These Terms are governed by the laws of the State of Colorado, without regard to conflict-of-law principles. Buyer–Seller sales remain governed by applicable UCC state law (Section 3.1).

17.2 Binding Arbitration & Class Action Waiver

Except for claims qualifying in small-claims court, any dispute between you and ParaBuyer arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Hearings shall be in Denver, Colorado, or by video conference for claims under $10,000.

YOU AND PARABUYER AGREE TO ARBITRATE ONLY ON AN INDIVIDUAL BASIS; CLASS OR REPRESENTATIVE ACTIONS ARE WAIVED.

The arbitrator's award is final and may be entered in any court of competent jurisdiction.

17.3 30-Day Opt-Out

You may opt out of arbitration within 30 days of first accepting these Terms by emailing support@parabuyer.com with subject "Arbitration Opt-Out," and including your full name, postal address, and account email.

17.4 One-Year Limitations Period

Any claim against ParaBuyer must be filed within one (1) year after it arose, or it is permanently barred.

18. FORCE MAJEURE

ParaBuyer is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, labor disputes, internet outages, acts of government, war, terrorism, or other force majeure events. Obligations are suspended during the event plus a reasonable recovery period.

19. MODIFICATIONS TO TERMS

We may update these Terms. We will provide at least six (6) weeks' notice before changes take effect, via email and/or in-product notice. Continued use of the Services after the effective date constitutes acceptance. If you disagree, you must stop using the Services and may request account deletion.

20. TERMINATION; SUSPENSION; SURVIVAL

We may suspend or terminate Accounts for violations, fraud, safety risks, non-performance, or legal compliance. You may request deletion at any time. Sections that by nature should survive termination (including 4, 7.4, 10–17, 19, 21–23) shall survive.

21. NOTICES; ELECTRONIC COMMUNICATIONS

You consent to receive notices electronically (email or in-app). Legal notices to ParaBuyer must be sent to support@parabuyer.com and to: 3295 Blake Street, Apt 302, Denver, CO 80205.

22. ASSIGNMENT

You may not assign these Terms without ParaBuyer's prior written consent. ParaBuyer may assign these Terms in connection with a merger, acquisition, reorganization, sale of assets, or by operation of law.

23. SEVERABILITY; WAIVER; ENTIRE AGREEMENT

If any provision is held invalid, the remainder remains in effect, and a valid substitute closest to the original intent will apply. No waiver is effective unless in writing. These Terms, together with the Privacy Policy, Shipping & Packaging Policy, and Buyer Protection Policy, constitute the entire agreement between you and ParaBuyer.
